1. Scope & Acceptance

By accessing www.nectra.xyz or interacting with any smart contracts, interfaces, or APIs that reference these Terms (collectively, the “Service”), you (“User”) agree to be bound by this TOS and any future updates posted here. Continued use following a change constitutes acceptance of the revised Terms.

2. Definitions

  • “Protocol” – the open-source smart-contract system deployed on the Citrea Bitcoin L2 that enables bitcoin-secured loans and issuance of the nUSD stablecoin.
  • “Interface” – any web or mobile front-end that merely reads from or writes to the Protocol.
  • “Digital Assets” – bitcoin (BTC), nUSD, or any other cryptographic token the Protocol may support.
  • “Nectra” / “we” – Nectra LLC acting solely as a software developer and publisher of informational content.

3. Eligibility

You must:

  • be at least 18 years old and legally able to enter binding agreements;
  • not be located in or a resident of any Prohibited Jurisdiction (see §5);
  • use the Service only for lawful purposes and in compliance with all applicable laws.

4. Risk of Loss

All transactions conducted through this application are real, irreversible, and final. Digital assets used within this application hold real-world value and can be lost permanently due to human error, smart contract vulnerabilities, network failures, or other unforeseen circumstances. You are solely responsible for managing your private keys, wallet security, and transaction decisions.

5. Geographic Restrictions

Access is prohibited and geo-blocked for persons or entities associated with jurisdictions subject to comprehensive sanctions or elevated compliance risk—including, but not limited to:

  • Afghanistan (AF)
  • Algeria (DZ)
  • Belarus (BY)
  • Burundi (BI)
  • Central African Republic (CF)
  • China (CN)
  • Congo, the Democratic Republic of the (CD)
  • Cote D'Ivoire (CI)
  • Cuba (CU)

  • Iran, Islamic Republic of (IR)
  • Iraq (IQ)
  • Korea, Democratic People's Republic of (North Korea) (KP)
  • Lebanon (LB)
  • Liberia (LR)
  • Libya (LY)
  • Mali (ML)
  • Morocco (MA)
  • Myanmar (Burma) (MM)
  • Nicaragua (NI)
  • Palestinian Territories (PS)
  • Russian Federation (RU)
  • Somalia (SO)

Any country listed by FATF as “high-risk.”

6. Regulatory & Compliance Responsibility

You are responsible for ensuring your use of this application complies with all applicable laws and regulations in your jurisdiction. We disclaim any responsibility for legal consequences arising from your usage.

7. Prohibited Activities

You agree not to:

  • Use the application to engage in illegal activities
  • Exploit smart contract vulnerabilities
  • Participate in money laundering or financing of terrorism
  • Attempt to circumvent geo-blocking restrictions

8. Security & Smart Contract Risks

Despite rigorous security measures, smart contracts may contain vulnerabilities that could be exploited, resulting in loss of funds. Risks include:

  • Contract exploits or bugs
  • Impermanent loss or market volatility
  • Malicious third-party attacks
  • Regulatory changes affecting your jurisdiction

9. Third-Party Links & Integrations

The Application may link to third-party services (e.g., wallets, bridges). We are not responsible for the content, accuracy, or functionality of these external platforms.

10. Informational Nature & No Advice

All content on the Site is provided “as is” for general information only. Nothing constitutes legal, financial, tax, or investment advice. You should obtain professional advice before making decisions.

11. Protocol Disclaimer

Nectra does not control, operate, or custody the Protocol once deployed. The smart contracts are autonomous, permissionless, and may be accessed through community-run front-ends beyond our knowledge or control. Use is entirely at your own risk.

12. Legal Recourse Waiver

By using this application, you expressly agree that you have no legal recourse against Nectra or its operators for any losses or liabilities incurred. You accept full responsibility for all risks.

14. Limitation of Liability

To the maximum extent permitted by law, Nectra shall not be liable for any direct, indirect, incidental, consequential, or punitive damages related to your use of the application.

15. Force Majeure

We are not liable for any delay or failure in performance due to causes beyond our reasonable control, including acts of God, cyberattacks, or changes in laws.

16. Updates & Changes

These terms may be updated at any time without notice. Continued use constitutes acceptance of any modifications. Check this page periodically for updates.
